Terms of Service

1. Agreement

These Terms of Service ("Terms") are a contract between you and Develofi, LLC, a Florida limited liability company, located at 7901 4th St N, Ste 300, St. Petersburg, FL 33702 ("we," "us"). By using UnDecked at meet.undecked.io (the "Service") you agree to these Terms.

B3IP Holdings, Inc. owns the UnDecked trademarks and the underlying intellectual property and licenses them to Develofi, LLC.

2. Eligibility

You must be at least 18 years old to use the Service.

3. License to use the Service

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Service to host, present at, and view live meetings.

4. Prohibited uses

You may not: upload unlawful, infringing, defamatory, obscene, or malicious content; access meetings you were not invited to; share presenter codes with unauthorized people; reverse engineer, scrape, or overload the Service; circumvent security or access controls; or use the Service to violate any law or the rights of others.

5. Accounts and codes

Hosts may sign in with Google to keep persistent rooms. You are responsible for activity under your account and for keeping meeting, presenter, and host codes confidential. Anonymous meetings and their files are deleted automatically when the meeting ends or 12 hours after creation.

6. Your content

You keep ownership of documents, images, video, audio, links, and other content you upload or share ("Content"). You grant Develofi, LLC a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute your Content solely within the Service to operate it for you and the meeting participants you invite.

You are solely responsible for your Content and confirm you have the rights to share it. Content you share is visible to everyone in the meeting. We may remove Content or end meetings at our discretion, including in response to legal complaints.

7. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF DATA, PROFITS, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF THE FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR $100.

9. Indemnification

You will defend, indemnify, and hold harmless Develofi, LLC, B3IP Holdings, Inc., and their officers and employees from claims arising from your Content, your misuse of the Service, or your violation of these Terms or the law.

10. Termination

We may suspend or end your access at any time for any reason, including violation of these Terms. You may stop using the Service at any time. Sections that by their nature should survive termination will survive.

11. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. The exclusive venue for any dispute is the state and federal courts located in St. Johns County, Florida, and you consent to their jurisdiction.

12. Changes and contact
